Society Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS SITE

Society is about what you know, not who you know, meaning that anyone and everyone can attend.

That said, we’re big on creating a diverse community that’s full of different people and different

interests. For that reason, we ask a few questions to make sure we’re a good match for each other.

1. YOUR INTEREST IN JOINING OUR COMMUNITY

Your Society access will start once you’ve completed a few simple steps. By ticking to these T’s and

C’s you are confirming with us that you agree with the below T’s and C’s as well as the associated

fees and length for your access pass / membership / tenancy as outlined on our website and/or below.

Once your payment has been processed you will receive a confirmation e-mail to the e-mail address

provided on your application form which upon receipt will form the start date of your selected access /

membership / tenancy unless otherwise stated.

Access is not guaranteed / permitted until the confirmation email has been received.

2. DAY PASSES

Day passes can be purchased via or website or in person at Society at the prevailing rate as

advertised. Each day pass entitles you access during opening hours for the specific date

selected. Day passes do not form membership, and day pass guests are not entitled to

access member only events / benefits.

Day passes cannot be shared or transferred to another person, and day pass do not entitle

additional guest access.

3. MEMBERSHIPS

Memberships can be purchased via our website or in person at Society at the prevailing rate

as advertised. 2, 3 or 5 day access per week is available and members will be awarded a set

number of credit to use against day passes that month. Members are required to only book &

access the set number of days per week for which they have signed up for.

Credit will not roll over to the next month, and no monetary refunds will be provided for days

not used.

Membership benefits are listed on our website. We offer these on a fair use policy and

reserve the right withdraw, amend or change as necessary.

Membership is for a minimum 3 month commitment period from the date your membership is setup.

Following the initial 3 month period, your Society membership will then auto-renew on a rolling

monthly basis thereafter until either of us terminates it in accordance with these terms.

4. OFFICE / STUDIO LEASE

Our office / studio spaces are leased via a legal binding lease agreement. Upon signing the

agreement you accept to be bound by both it and all the terms and conditions noted here.

Office / studio spaces carry a maximum occupancy which must be adhered to at all times.

Details of all users must be provided upon request, likewise details or any changes to office

personnel within 48 hours of any amendment.

Occupants of office / studio spaces are classed as members and entitled to member benefits

excluding access to work from the co working space. Communal kitchen & toilet facilities are

shared and accessible by all.

Office / studio benefits are listed on our website. We offer these on a fair use policy and

reserve the right withdraw, amend or change as necessary.

Each lease is for a minimum 6 month term from the date your lease agreement is signed by both

parties. Following the initial 6 month period, your tenancy will then auto-renew on a rolling monthly

basis thereafter until either of us terminates it in accordance with these terms. Please refer to lease

agreement for further terms and conditions.

5. PAYMENT

Memberships; Your initial membership payment fees will consist of a full month fee payable in

advance. Monthly payments will be taken via direct debit / card payment using your supplied bank

card every month from the date your membership starts until either you or we cancel.

Office / studio rental; Your initial payment will be 1 months rent in advance plus a deposit of £500.

Monthly payments will be taken via direct debit / card payment using your supplied bank card every

month from the date your lease agreement starts until either you or we cancel.

The amount of your monthly payments will be the amount noted on our website / lease agreement

alongside your chosen membership or office plan. All payments will be taken after you’ve signed our

T’s and C’s and you’ve filled in the details section.

By providing us with your payment details you agree to being charged the membership fee on a

monthly basis for a minimum of 3 months, or for a minimum of 6 months for office / studio leases.

It is within our sole discretion to amend our membership fees at any time, including the amount, date,

or frequency of the payment of your membership fees. If we do so we will notify you at least 7 days in

advance so you have the opportunity to cancel your membership if you do not agree to the changes.

Failure to pay any part of the membership fees within 48 hours of the due date will result in the

member not being admitted to the property and the membership being terminated. We will notify you

by email if your membership is terminated.

6. ENDING YOUR MEMBERSHIP / OFFICE OR STUDIO RENTAL

If you want to cancel your membership / office or studio rental, please let us know by emailing

hello@societyholmfirth.co.uk .Your request will not be accepted if it is sent to another email address

or other department even by a conversation in person. Please do so from the email account you used

to set up your membership so we can be sure that it is you who wants to cancel your membership.

You can terminate your membership once you have fulfilled your minimum 3 month membership term,

or your office or studio rental once you have fulfilled your minimum 6 month term, by giving us one full

months’ notice.

Failure to give notice 1 month before you wish to cancel will result in your membership automatically

renewing into the following month. You would still be entitled to use Society facilities up until the end

of your membership / office or studio rental in these circumstances.

We reserve the right to terminate your membership / office or studio rental by giving you at least one

calendar months’ notice without reason or immediately suspend on notice to you if you materially

breach these terms (including but not limited to where we specifically state a breach will result in a

right to terminate).

Where termination or suspension of your membership / office or studio rental is immediate due to

breach, you will not be entitled to enter Society’s premises or use our facilities during such suspension

or following such termination and no refund of fees paid will be provided.

If we terminate or suspend your membership or lease agreement with us, we are afraid that you will

not be eligible to re-apply for a membership / office or studio rental at any time in the future.

The most important rule at Society… We respect everyone who works and plays here. Please do the

same.

7. EVENTS / WORKSHOPS

Purchasing an event / workshop entitles you access for the specific time and date listed. Use of our

co working area or meeting room is not included.

You are welcome to arrive up to 15 minutes before your event / workshop.

Paid-for events will not be monetary refunded, but credit will be issued in order to reschedule to

another class. If cancelled with less than 24 hours’ notice of the scheduled start time of the event no

credit / reschedule option will be offered. Any events you can’t make and give us more than 24 hours

of, will be eligible for a credit to reschedule to another event of same cost.

directly via our website.

From time to time we may need to make changes to our schedule. We reserve the right to cancel,

amend or reschedule any advertised events or workshops at short notice. If we do so, we will notify

you by email and we will provide a credit for any paid for sessions to enable you to reschedule.

8. MEETING SPACE

Our meeting space is bookable for slots of 1 hour, half or full day as per price listed on the

website. This included entry & room hire for the duration of the booking for up to 8 delegates.

Delegates are not required to have membership at Society to book our meeting space.

Should delegates wish to use our co working space before / after the room hire they are

required to book a day pass for the day of use. You the booker are solely responsible for any

delegates / guests that you bring to the property.

Additional time beyond the booking allocation will be charged at the prevailing hourly rate as

advertised and Society reserve the right to charge the card we hold on file for this booking.

Co working members and serviced office members are eligible for 20% off meeting space

bookings.

9. GUESTS

Members are permitted to bring 1 guest per day for up to 1 hour with them, although please be aware

that during busy times we may have to restrict member/guest access. If a guest would like to stay for

longer than 1 hour they required to purchase the day pass via the website. Guests are not permitted

to attend member only events.

A member’s guests may not enter Society without that member accompanying them. Members must

ensure their guests follow all Society rules and policies and can face suspension or termination of

their membership if their guests violate such rules or policies.

10. CHILDREN

Society is all about finding balance and respecting all our members needs and preferences. We allow

children onsite for specific children/family events as listed on our website, but not during working

hours/days in our co working / office space.

The exception been that children under the age of 9 months are permitted with a parent adult member

in order to welcome those currently on maternity / paternity leave and juggling plates! We take our

hats off to you!

If you’re bringing children, we ask that you respect other people’s space and reasons for being at

Society.

You are solely responsible for any children that you bring to the property. Any member or guest under

the age of 16 should be accompanied by an adult. You agree to always supervise any guest under the

age of 16 whilst at the property.

11. DOGS

Yep – no problem. Although please respect our lovely interior by not allowing dogs on furniture and

take out for regular toilet breaks to avoid any accidents!

You may be asked by a staff member to leave or refrain from bring your dog again if your dog is

barking indoors and disrupting other members. Your dog must be on leads at all times inside Society

and remember not everyone is a dog lover – so please respect this at all times.

12. SWITCHING OFF

By all means take photos around Society but please respect the privacy of other members and their

guests whilst at the property. Do not take photos or videos of people without asking them first.

We do not have a social media ban at our property. However, as a more general note on phones and

technology… Life is better experienced with our heads up.

We want Society to be a place where you can really flourish, so rather than heading to Instagram for a

cheeky scroll, we encourage you to start a conversation!

For movies, videos, songs, calls, presentations, and all other audio, please be mindful of those

around you and use headphones so it’s not disruptive to other guests. When it comes to using laptops

and making calls, the same applies.

13. CONFIDENTIALITY

Society management and all the team are required to adhere to the strictest confidentiality standards

and pledge to process all personal information of the members and their guests in accordance with

our privacy policy.

14. YOUR PERSONAL DATA

It is important for us to have your current details in our membership database. If your contact or

payment details

change, please let us know as soon as possible by emailing hello@societyholmfirth.co.uk

We take the protection of your personal data seriously and will process it in the best and safest way

we know how, and will never willingly pass on any of your details to a third party outside of Society.

We may film or photograph events which take place at Society. If you take part in these events, you

acknowledge that we may use your name, image, and other limited information in promotion of the

events and Society. You consent to us publishing any materials produced by, or for us, for any

purpose without your further consent. You also waive any right to receive any payment from us in

connection with such publication.

15. ENTERING/LEAVING

We like our neighbours, and we ask all members and their guests to respect our nearby residents by

being quiet when entering or leaving the premises or while in the surrounding areas.

We care about your wellbeing, and encourage a positive work/life balance, so offer our co working

space between the hours of 9am -5pm Monday to Friday. Office entry is between the hours of 7am-

7pm Monday – Sunday.

When leaving your offices please ensure all lights, heaters, computers, chargers and electrical

equipment are switched off for fire safety. No electrical equipment is to be left charging overnight,

No sleeping on/in the premises or entertaining guests out of hours is allowed and will be deemed as a

breach of Terms and conditions of your membership / office lease to do so.

16. DISCIPLINARY PROCEDURE

Conduct by a member or guest which may result in suspension or termination of such membership or

expulsion of a guest is outlined below:

Violent, abusive or intimidating conduct

Sexual, racial or any other form of discrimination, harassment or bullying towards anyone in the

property

Rudeness or offensive language to anyone in the property

Any action likely to bring us into disrepute, including any illegal activities

Any action likely to prejudice our premises licence or insurance

Under the influence of illegal drugs

Serious intoxication or unsociable behaviour due to alcohol

Failing to follow the directions of the staff

Damage to the Society property, our property, or the property of anyone within the property

Illegal gaming or betting at Society

Any action, within or outside Society, likely to cause a disturbance to residents in neighbouring

properties

Any action, within or outside Society, which we believe would damage our reputation or have the

potential to endanger the safety of our members or their guests

For the avoidance of doubt breach of any of the above would be considered a material breach of

these terms (as would other breaches of these terms).

If we have terminated a membership, that member may not return to Society as a guest and a no

refund of the expelled member’s subscription will be issued.

17. ILLEGAL DRUGS/SUBSTANCES/ITEMS

We do not allow the purchasing, selling, using, possessing, or distributing illegal drugs and illegal

objects at our property. That person and any person associated with them will be removed from the

site. If they are a member, we have the right to terminate or suspend their membership immediately. If

they are a guest of a member, the guest may not be allowed to come into our property again and we

shall have the right to terminate or suspend the membership of the member whose guest they are.

Depending on the circumstances, we may call the police or relevant authorities.

18. PRIVATE HIRE, CLOSURE AND MAINTENANCE

We reserve the right to close Society to all members and guests with fair notice for private events

which require the property to be closed to members and guests. We will give members at least 7 days

notice for any planned closures of the whole property.

We do not guarantee that all the facilities will be available all of the time. We may need to close

Society (or any part of it) without notice for emergency maintenance or repair, for health or medical

reasons, on government guidance or for legal reasons but will endeavour to give advanced notice

where practical to do so. Where we have done so, we will seek to ensure that Society (or the affected

area, facility or service) is reinstated as soon as practicable.

We may need to withdraw facilities or services because we consider that they may pose a risk to the

health or safety of our members, guests or staff, or that they are detrimental to the business.

19. USE OF EQUIPMENT AND FACILITIES

Use of any areas or facilities available at Society is entirely at the risk of a member or guest.

You must not use any equipment or undertake any activity at Society unless you are satisfied that you

are able to do so in a safe and proper manner.

When using any equipment and facilities at Society, you must take care to safeguard your own health

and safety and that of other people. You will be solely responsible for any loss or injury that you cause

to yourself, other persons or to the equipment or facilities to the extent that it is caused through your

unsafe or improper use of the equipment or facilities (including your use of them whilst under the

influence of alcohol or medication) or your failure to advise staff of a medical condition relevant to your

use of the equipment or facilities.

Our building may often be unsupervised and must be used at your own risk.

20. ACCIDENTS AND INJURIES

Please be careful on site. Members and their guests agree to observe any signs published or

displayed at Society.

If you are involved in (or see) an accident or injury, then please let us know as soon as possible – and

at least within 24 hours of it happening. This is primarily so we can ensure you and anyone else

involved are ok, but also so we can comply with our health and safety obligations and for insurance

purposes. Any medical personal data collected in relation to an incident will be kept secure and

processed in accordance with our privacy policy.

21. LIABILITY

Nothing in these terms should be taken to exclude or limit in any way our liability to you where it would

be unlawful to do so. This includes liability for death or personal injury caused by our negligence or

the negligence of our employees, agents, or subcontractors, for fraud or fraudulent misrepresentation,

or breach of your statutory rights.

The rest of this clause and the terms should be understood subject to this.

We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with

these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our

breaking this contract or our failing to use reasonable care and skill, but we are not responsible for

any loss or damage that is not foreseeable.

Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract

was made, both we and you knew it might happen, for example, if you discussed it with us during the

sales process.

We are not liable for business losses. Memberships are for private use only. If you use Society for any

commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of

business, business interruption, or loss of business opportunity.

Items brought onto a Society site, and left there or left unattended, are done so at the risk of a

member and their guest(s). Society, its staff and contractors, are not liable to any member or guest for

any loss, damage or injury suffered by them or their property (except where specifically excluded or

limited in this clause above).

Any damage or omission which results in damage to the building, equipment or fixtures & fittings

which we deem to be intentional or wilful neglect, the cost to rectify will be liable against the member

or office occupier. Society reserve the right to charge the card we hold on file for membership or to

deduct from deposits.

22. CCTV

Society uses CCTV cameras and operates them in accordance with all relevant legislation. No

images will be provided to third parties for commercial, entertainment or any other purposes. CCTV

images may be used for verifying compliance with these terms, to resolve any dispute, to identify

individuals involved in wrongdoing or anything illegal.

23. SMOKING POLICY

All members and their guests are obliged to abide by Society’s smoking policy then in effect and to all

applicable smoking related laws, rules and regulations. No smoking (including e-cigarettes and vapes)

is allowed inside at any time. Society reserves the right to designate certain outside areas as smoking

areas and to change the location of such areas at any time however, all members and their guests are

requested to respect the wishes of other members and their guests with respect to smoking and to

refrain from smoking when requested to do so.

24. OUR TRADEMARK RIGHTS

Members and their guests shall not use the names, logos, colours, trademarks, service marks,

photographs, trade dress, or other identifying features of Society and its affiliates (“Society Marks”)

without obtaining the specific prior written approval. Members and their guests may not produce, use

or create, or authorise others to produce, use or create the Society Marks for any purpose

whatsoever, including, but not limited to, in any communications, marketing, advertising or other

promotional materials (including, but not limited to, brochures, flyers, invitations, e-mail messages,

etc.) without Society’s prior written consent.

25. INTERPRETATION OF THE RULES

We reserve the right to make reasonable changes to these terms and conditions from time to time.

Where we do so we will give you at least 7 days notice by emailing you or writing to you to tell you the

changes are being made and that you may see the amended terms and conditions at our website or

at the property. You can always see the latest version of our terms and conditions on our website.

26. COMPLAINTS AND DISPUTES

If you have any questions or complaints about Society or your membership, please contact

us. You can write to us at the details set out below.

If there is any confusion or dispute around the interpretation of these terms or any other rules

of the property, the matter shall be referred to Society’s management, whose decision with

respect to your membership shall be final and without appeal.

28. GOVERNING LAW AND JURISDICTION

These terms and conditions shall be governed and construed in accordance with English law and
