This Advising Agreement (the “Agreement”) is made effective as of “Today’s Date” listed below by and between:
STUDENT (information filled in on the form above)
AND
Passport Admissions, Inc. ("Passport")

Whereas:
Now, therefore, the parties agree as follows:
1) DESCRIPTION OF SERVICES
a) PASSPORT agrees to provide the services outlined in the selections above.
b) PASSPORT agrees to give its best efforts to be available for consultation on a weekly basis by phone, email, or video conference. PASSPORT will try to return all communication within 2 business days, excluding essay revisions. Unless PASSPORT specifically advises otherwise, PASSPORT agrees to return essay revisions within 5 business days.
c) STUDENT agrees to utilize PASSPORT exclusively for all of the above services and to provide timely responses to PASSPORT inquiries concerning these services.
2) COMPENSATION FOR SERVICES
As compensation for the services provided by PASSPORT, STUDENT agrees to pay PASSPORT the price above.
3) CODE OF STUDENT CONDUCT
PASSPORT pledges to conduct its services ethically throughout the application process, including:
STUDENT shall abide by the student code of conduct below.
4) LIMITATION OF LIABILITY
a) STUDENT acknowledges that despite PASSPORT’s best efforts on STUDENT’s behalf, PASSPORT cannot guarantee admission to any particular school or program. In no event shall PASSPORT have any liability, whether based on contract, tort (including, without limitation, negligence), statute or common law, or any other legal or equitable grounds, for any punitive, consequential, special, indirect or incidental loss or damage as a result of PASSPORT’s actions in the admission process.
b) The limitations set forth in Section 4(a) above shall not apply to liabilities which may arise as the result of willful misconduct or gross negligence of PASSPORT providing its services hereunder. However, STUDENT’s only claim for damages shall not exceed the total amount paid to PASSPORT by STUDENT, as detailed in this Agreement.
5) PASSPORT TEAM ASSIGNMENTS
PASSPORT Admissions will assign STUDENT to an advisor, editor, and/or interview coach after enrollment based on the general availability provided by the STUDENT and based on prior conversations with STUDENT that may include preferences for particular PASSPORT staff.
STUDENT will stay with their assigned team for all enrolled services and will not attempt to meet with other team members without permission from PASSPORT. STUDENT may request changing team members, but the change will be solely at PASSPORT’s discretion. If a team member resigns from PASSPORT, PASSPORT will replace the team member with an equivalently qualified advisor, editor, or interview coach. If a team member cannot be replaced in a timely manner - determined at PASSPORT’s sole discretion - PASSPORT will offer a refund to the student based on clause 7 below - REFUNDS and CONVERSIONS.
6) CANCELLATIONS AND CHANGE OF ENROLLMENT TERM
Either STUDENT or PASSPORT may terminate this agreement at any time by providing written notice to the other party. In the event of a termination, STUDENT will have no further obligations to PASSPORT, and PASSPORT will have no further obligations to STUDENT. Any outstanding payments will be due immediately. STUDENT will owe PASSPORT the full hourly rate for all time spent on behalf of STUDENT, as determined by PASSPORT. If after accounting for the total owed PASSPORT, any remaining money STUDENT has paid to PASSPORT in excess of the hourly total will be refunded to STUDENT.
All services purchased under this agreement shall expire after 365 days, unless explicitly authorized by PASSPORT in writing. Such extension is at PASSPORT'S sole discretion.
7) REFUNDS and CONVERSIONS
STUDENT may request a refund from PASSPORT at any time up to three months from today's date. Before issuing a refund, PASSPORT shall calculate the total value of the work performed, based on PASSPORT'S current hourly rates. Current hourly rates often exceed hourly rates included in PASSPORT's packages, since students buy those hours in bulk packages. After accounting for the total owed to PASSPORT, any remaining money STUDENT has paid to PASSPORT in excess of the current hourly total will be refunded to STUDENT. All refund calculations and determinations will be made exclusively by PASSPORT.
Alternatively, the STUDENT may convert unused hours to other types of services that PASSPORT offers. Conversion rates are based on PASSPORT’s current hourly rates.
Unused hours cannot be transferred or converted between different STUDENTS regardless of type of service or relation between said STUDENTS.
8) REMEDIES
In the event STUDENT defaults in his/her payment obligations, for any reason, all consultation and coordination efforts will cease until the required payments are made.
9) ENTIRE AGREEMENT
This Agreement contains the entire agreement of the parties. There are no other promises or conditions, whether oral or written, express or implied, that are not incorporated into this Agreement. This Agreement supersedes any prior written or oral agreements between the parties.
10) AMENDMENT
This Agreement may be modified or amended but only if the modification or amendment is made in writing and signed by both parties.
11) SEVERABILITY
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
12) NO WAIVER OF CONTRACTUAL RIGHT
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
13) APPLICABLE LAW
This Agreement shall be governed by the laws of the State of California.
