Terms and conditions of use for Artists Media Co-op/Studio 858 photography studio by all members subscribing to use the space.
A. After the expiration of the term, the member may enter into a new rental agreement until member or principal tenant terminates agreement, within at least fifteen (15) days of the end of the preceding month.
B. The studio must be returned to the original (pre-production) condition at the end of the shoot, including the disposal of all trash left by member or any persons associated with shoot and the cleaning of all areas used during shoot.
C. Smoking of cigars, cigarettes, or anything else, and the use of alcohol and any illegal or illicit drugs are NEVER permitted at anytime without exception. Violation of this rule will lead to immediate expulsion without compensation.
D. Principal Tenant is not responsible for damage or loss of any said items left in the studio. Members must carry their own property/business insurance for personal property.
E. Membership entitles Member to the use of available props, and lighting equipment, light modifiers, radio triggers, etc., owned by Principal Tenant but are required to provide their own camera bodies, lenses, computers and memory cards.
F. Membership does not entitle Member to sub-lease time slot(s) to outside persons or parties. If a member sub-leases time slots to outside parities the fine is $150.00.
G. Membership is non-transferable and non-refundable.
H. Studio time included each month with membership cannot be rolled over to the following month and will expire at the end of twenty-eight (February) to thirty one calendar (28-31) days, i.e., at the end of each calendar month. Contract will be prorated to compensate for start date, unless otherwise specified in writing.
I. Membership Responsibilities and Duties of Membership shall include:
I1. Cleaning and Trash Disposal -- Member shall be responsible for cleaning the common area and all other studio areas used during shoot. Member shall be responsible for trash removal. Failure to do so will result in a minimum $50.00 cleaning fee.
I2. Storage/Prop Organization -- Member shall be responsible for breaking down all equipment and organizing props and equipment in designated areas that were NOT already In place and returning that which was in place to its rightful position.
I3. Liability of Guests -- Guests of Member who enter the studio are the sole responsibility of the Member.
I4. No children are allowed into the studio unless they are the client, except when other provisions are made in advance and agreed upon in writing.
J. Member releases/indemnifies Principal Tenant and partners from any liability whatsoever arising out of any damage, loss, or injury to Member, Guests, their authorized guests, or their property while on the premises of, or using any equipment owned by, Studio 858. Member will be held fully liable, indemnifying and holding harmless the Principal Tenant (Studio 858) and its partners, for any damages, loss, or injury caused or incurred by their Guest.
K. Proper Usage of Equipment -- Member agrees to take a tour of the studio prior to usage of the studio and understands the proper usage of all equipment in the studio, including, but not limited to, all strobes and lighting equipment, power switches, all stands, remote radio triggers, and light modifiers. Should Member cause damage to studio equipment, Member will be responsible for the full cost of repair or replacement of damaged equipment.
L. Member studio time reservations must be cancelled in writing with 48 hours of advance notice or the time reserved will be forfeited. Members clients must arrive on time, otherwise the member shall forfeit THAT time while waiting, and it can only be rescheduled for another date. Members cannot and will not be given an access entry code or keys to the studio for any reason.
M. Member Insurance
M1 Personal liability and property insurance shall be the sole responsibility of Member. Business Insurance is strongly recommended for personal property. Any Member whose conduct or inaction causes harm or damage to another Member, including, but not limited to a partner, structure or property or that of another members and/or authorized guests of Studio 858 in whole or part, shall solely be named in the subject of any claims of liability and shall indemnify and hold harmless the Principal Tenant (Studio 858 and partners) or its Collective Members. No rider of liability is to be assumed or will be offered by the Principal Tenant to the member in advance or after any events or incidents caused by or as a result of a members accident or negligence that may cause harm or damage to any person(s) or property.
N. Principal Tenant Privileges and Limitations
N1. Principal Tenants are the owners and operators of the legal entity known as Artists Media Coop & Studio 858, and retains the sole authority to acquire, manage, and profit from Members who rent space within the Studio 858, whereas the gains of such shall benefit the studio and entity in whole or part as jointly decided by the partners.
N2. Principal Tenants retain ownership of all studio improvements and communal studio items purchased by the Principal Tenant. However, items purchased by Member are his/her own personal property and cannot be claimed by the Principal Tenant unless the tenant has a balance due, leaves them in our space for more than fifteen (15) days after the termination or end of their membership, or the member has caused damage to ANY item within or owned by the principal tenant or failed to pay any fees for failing to return any items to their original space or state.
O. The Artists Media Coop, DBA Studio 858, is a legal business entity separate from the location within and the structure where the studio is located, which in no way entitles any Member to claim ownership of items owned by the Principal Tenant (within Studio 858) or to claim income from any ventures that arise from the Artists Media Coop as an entity. (This is not a partnership agreement).
P. Amendments
The Principal Tenant, may amend this agreement as necessary. Member shall be notified in writing at least 30 days in advance of any amendments, when possible or as time permits.
Q Termination of Membership
Q1. Termination of membership requires advance written notice within fifteen (15) days of such.
R. Should there be any breach under this agreement, it is agreed that the prevailing party shall be entitled to, but not limited to reasonable attorney’s fees costs incurred as a result of any action or proceeding under this agreement.
S Definition of Terms
S1 Principal Tenant: Owner and operator of Studio 858 (Artists Media Coop) and primary lease holder on the property, located at: 10459 Saint Charles Rock Road, Saint Ann, Missouri 63074
S2. Principal Tenant may agree to share its rights under the lease but is responsible for the Studio 858 compliance with the lease regulations.
S3. Member: Any person or persons who have entered into agreement with Principal Tenant to rent studio time/or space within this space and facilities.
S4. Member: Person who enters into agreement with Principal Tenant to rent studio space and facilities as a Member.
S5. Guests: Any authorized person or persons accompanying any Member into the studio while conducting business.
T: Non Bookable Days and Hours:
T1 Only if an event hosted by another member, partner or the principal tenant, or maintenance is being done to the space or building that would prohibit entry or safe passage to the studio space, including but not limited to the stair ways, elevators, emergency exits, loading dock, parking areas operated and maintained by the owners or the City Saint Louit that would restrict or limit access in whole or part. Otherwise bookable hours are the normal operating hours of the studio.
U. Open Studio: All reservations are open studio and photographers can expect other photographers working in the spaces he or she has not reserved.
V. Private Studio: If a photographer desires exclusive use of all 4 studio spaces, this must be made known of such at time of booking. Private booking counts as the reservation of all four (4) studio spaces and is billed at 4x the normal rate. The space is not being shared*.
• NOTE: This does include any of the Principal Partners or studio staff, who have access at all times and during all reservations.
