Thank you for your interest in DebateDrills, LLC (“DebateDrills,” “we,” “us,” or “our”), which operates the website www.debatedrills.com (the “Website”), the DebateDrills Academy (www.academy.debatedrills.com), the Club Team, individual and group tutoring, group classes, educational services, and any other products and services we may provide now or in the future (collectively, the “Services”).

By using our Website and/or Services, you agree to be bound by the following Terms and Conditions which constitute a legal contract between you (“you”, “Student”, or “Parent”) and DebateDrills. Please read these Terms and Conditions carefully before using our Services or our Website. If you do not agree to these Terms and Conditions, then you may not use our Website or Services.

If you are a parent or guardian and you provide consent for your child to use our Website or Services, you agree to be bound by these Terms and Conditions with respect to your child’s use of our Website and Services.

Parent or Guardian Approval. By clicking the “I agree” button, creating an account, or otherwise using our Website and/or Services, you represent that you are either: (a) 18 years of age or older, or (b) have approval from your parent or guardian.
Account. In order to use certain features of the Website, you must create an account with a username and password. You are solely responsible to maintain the confidentiality of your password. You agree that all information you provide to DebateDrills is true, current, and complete. You agree not to impersonate any person or entity, perform fraudulent activity, and use the Website and/or Services for any illegal, harassing, or otherwise inappropriate purpose.
Services. Depending on the services package purchased, DebateDrills may provide the following services.
- Tutoring Subscriptions.
  - Sessions. A DebateDrills Tutor will read an argument, mimic a real debate round and make the student respond to such argument, review Student’s response and provide Student suggestions to improve during a video or phone call with Student (a “Session”). In respect of any Session, the applicable DebateDrills Tutor will get through at least 1 skill a Session (including but not limited to, improvement in debate strategy, content, speech or other technical aspects of the methods of debate). Student and Parent agree and acknowledge that DebateDrills is solely facilitating and administering the agreement between the DebateDrills Tutors and shall be afforded the protections set forth in Sections 11-13.
  - Start time. Sessions will begin promptly at the time booked and end 60 minutes after start time, which is denoted on each DebateDrills Tutor’s booking portal. For example, if services are requested from 18:00 to 19:00, the Session will begin promptly at 18:00 and end at 19:00 on the clock. Sessions can run over time based on DebateDrills Tutor’s sole discretion.
  - Cancellation policy. Any party hereto may cancel a scheduled Session by providing prior written notice (including via e-mail) to the other party; provided, that Student or Parent must provide notice at least 24 hours prior to such Sessions’ start time. If Student does not attend a Session and does not provide written notice in accordance with this Section 3(a)(iii)(a)(iii), the fee for such Session shall accrue as if the Session were conducted.
  - Scheduling. Company will provide a maximum of two (2) hours per week of tutoring and one (1) hour per day.
  - No Roll-Over. Tutoring Subscription hours are provided on a use-it-or-lose-it basis. If Student fails to book tutoring hours in accordance with these requirements, such hours do not roll over.
  - Subscription Cancellation. Tutoring subscriptions begin on the first day of purchase and renew each month on the date of purchase. Should Student or Parent wish to cancel their tutoring subscription, they may do so through the Booking Software (Acuity Scheduling) or by notifying DebateDrills in writing via email at leadership@debatedrills.com. The cancellation will apply to the following month. For example, if a Parent purchases tutoring subscription on January 1st and notifies DebateDrills that they would like to cancel their tutoring subscription on January 15, their subscription would terminate at the end of January and not renew on February 1st. Student would be free to use their tutoring subscription for the remainder of January. Tutoring subscriptions may not be terminated mid-month for a refund.
  - Refunds. Tutoring hours are provided on a use-it-or-lose-it basis. As such, DebateDrills will only issue a refund if a Tutor is unable to attend a tutoring session. Some of the reasons that DebateDrills will not issue a refund include:
    1. Student is no longer interested in debate.
    2. Student forgot to book tutoring hours.
    3. Student did not attend a tutoring session that they had booked, and did not cancel with at least 24 hours notice.
    4. Student or Parent forgot to cancel their tutoring subscription.
Services NOT Included. DebateDrills shall be under no obligation to provide any additional services not included in the relevant subsection in Section 3. Additional services must be agreed upon separately and may be subject to additional fees.
Proprietary Materials. The Website and Services are owned and operated by DebateDrills, including but not limited to the graphics, design, information, code, content, videos, exercises, and all other elements of the Website and Services. DebateDrills reserves all rights to the Website and Services. Should these Terms and Conditions be terminated for any reason, you may not access, distribute, or otherwise use in any way any of DebateDrills’ Website and Services, whether for personal, commercial, professional, or any other purpose.
Personal Use. DebateDrills may make the Website and/or any Services available to you solely for your personal, non-commercial purposes. You may not record any Services for any purpose without express, written permission from DebateDrills. You may not download, distribute, sell, lease, modify, repost, or otherwise provide access to the Website and/or Services to any third party.
Recording and Use of Likeness. You hereby grant to DebateDrills the right and permission to use in perpetuity your name, likeness, image, voice, recorded voice, appearance, statements, performance, and/or testimonial (collectively, “Likeness”) in any manner and in any media, now known or later developed, throughout the world, at any time, for the purpose of advertising and publicizing DebateDrills’ products and services, without review, permission, or compensation of any kind or amount whatsoever. DebateDrills shall have complete ownership of any recording, product, copy, presentation or other material containing your Likeness, including copyright interests, and you acknowledge that you have no interest or ownership. This grant includes, without limitation, the right for DebateDrills to edit, abridge, augment, title, or create a compilation from your Likeness in whole or part as DebateDrills may elect in its sole discretion. You may opt out of Section 7 of these Terms and Conditions exclusively by emailing leadership@debatedrills.com with a message that includes (1) your name; (2) your username on the Website, if any; (3) a statement that you wish to opt out of Section 8 regarding Recording and Use of Likeness of these Terms and Conditions.
Term. These Terms and Conditions shall remain in full force and effect while you use the Website and/or Services. DebateDrills, in its sole discretion, for any or no reason whatsoever, and without penalty, may suspend or terminate any account you may have with DebateDrills or your use of the Website and/or Services and discard any or all of your account, profile, and user content at any time. DebateDrills may also stop providing Services at any time and without prior notice. You may terminate these Terms and Conditions by completely discontinuing use of the Website and Services in addition to deleting your account.
User Interactions and Release. DebateDrills is not responsible for the actions, content, information, or data of other third parties, including other users of the Website or Services. You are solely responsible for your interactions with any other users of the Website and any services offered by DebateDrills.
Limitation of Liability. PARENT AND STUDENT AGREE AND ACKNOWLEDGE THAT (I) IN NO EVENT SHALL DEBATEDRILLS BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTY, FAILURE OF ESSENTIAL PURPOSE OR OTHERWISE, (II) UNDER NO CIRCUMSTANCES SHALL DEBATEDRILLS BE HELD RESPONSIBLE FOR THE ACTIONS OR OMISSIONS OF ANY ASSISTANT COACH, ANY OTHER PERSON, STUDENT, OR CLIENT OF DEBATEDRILLS FOR ANY CAUSES OF ACTION, DAMAGES, CLAIMS, JUDGMENTS, COSTS OR EXPENSES, INCLUDING ATTORNEY FEES AND LITIGATION COSTS WHICH MAY ARISE FROM SUCH ACTIONS OR OMISSIONS AND (III) IT WILL HOLD DEBATEDRILLS HARMLESS AND NOT INSTITUTE ANY ACTION OR PROCEEDING AGAINST DEBATEDRILLS OR SEEK ANY COMPENSATION, RECOMPENSE, COSTS, EXPENSES OR DAMAGES FOR ANY CLAIMS OR CAUSES OF ACTION ARISING FROM ACTIONS OR OMISSIONS OF ANY ASSISTANT COACH, ANY OTHER PERSON, STUDENT, OR CLIENT OF DEBATEDRILLS. YOU ACKNOWLEDGE AND AGREE THAT DEBATEDRILLS HAS OFFERED THE SERVICES AND ENTERED INTO THESE TERMS AND CONDITIONS IN RELIANCE UPON THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND DEBATEDRILLS, AND THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND DEBATEDRILLS.
Indemnification. You agree, to the extent permissible under state and federal law, to indemnify, defend, and hold harmless DebateDrills and its contractors, employees, officers, directors, and any other affiliates from and against all losses, damages, liabilities, demands, judgments, settlements, costs and expenses of any kind including legal fees and expenses, from any claim or demand made by any third-party relating to or arising out of your access or misuse of the Services, your breach or violation of any of the provisions of these Terms and Conditions, your failure to comply with any applicable laws including failure to obtain necessary parental consent, or your breach or alleged breach of any interaction, agreement, or policy between you and any other students.
Disclaimers.
- No Warranties. THE SERVICES ARE PROVIDED “AS IS” AND “WITH ALL FAULTS” BASIS. TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAW, DEBATEDRILLS EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, AVAILABILITY, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM DEBATEDRILLS OR THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
- Content. DEBATEDRILLS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND DOES NOT WARRANT THAT ANY OF THE FOREGOING WILL BE CORRECTED. SOME FEATURES MAY BE NEW OR EXPERIMENTAL AND HAVE NOT BEEN TESTED IN ANY MANNER.
General Provisions.
- Governing Law/Venue. These Terms and Conditions are governed by the laws of the State of California. Each party hereto irrevocably submits to and consents to jurisdiction of and venue in the federal district court for the Southern District of California and in the courts of the State of California in San Diego County, California. A party may not object to the jurisdiction of any of those courts on the ground that it is an inconvenient forum or that it does not have jurisdiction.
- Waiver of Trial by Jury. DEBATEDRILLS AND PARENT HEREBY IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS.
- Entire Agreement. These Terms and Conditions represent the entire and complete agreement between the parties with respect to the Services and Fees. These Terms and Conditions supersede and replace any prior agreement between the parties.
- Notices. Any notice, demand or request required or permitted to be given by Parent pursuant to the terms of these Terms and Conditions shall be in writing. Any and all notices, consents, offers, elections and other communications required or permitted under these Terms and Conditions shall be deemed adequately given only if in writing and delivered at DebateDrills’ principal email address: leadership@debatedrills.com.
- Assignment. The rights and benefits of DebateDrills under these Terms and Conditions shall be transferable to any one or more persons or entities, and all covenants and agreements hereunder shall inure to the benefit of, and be enforceable by, DebateDrills’ successors and assigns. The rights and obligations of the Parent under these Terms and Conditions may only be assigned with the prior written consent of DebateDrills. Any assignment without prior written consent of DebateDrills is void.
- Waiver. The failure of DebateDrills to enforce any provision or provisions of these Terms and Conditions shall not in any way be construed as a waiver of any such provision or provisions, nor prevent DebateDrills from enforcing each and every other provision of these Terms and Conditions.
- Attorneys’ Fees & Costs. Should any litigation, proceeding or arbitration be commenced between the parties concerning the rights or obligations of the parties under these Terms and Conditions, each party shall bear their own attorneys’ fees and costs in such litigation, proceeding or arbitration to the fullest extent permitted by law. This section is severable from the other provisions of these Terms and Conditions.
- Post Judgment. Should a judgment be entered against either party, the prevailing party shall not be entitled to receive from the party or parties held liable their attorneys’ fees and costs incurred in enforcing any judgment against such party or parties to the fullest extent permitted by law. This section is severable from the other provisions of these Terms and Conditions.
- Severability. In case any provision of these Terms and Conditions shall be invalid, illegal or unenforceable, such provision shall be modified to the minimum extent necessary to make such provision enforceable, and the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
- Construction. The headings of these Terms and Conditions are for convenience only and are not to be considered in construing these Terms and Conditions. The language of these Terms and Conditions shall be construed according to its fair meaning and not strictly for or against any party.
- Counterparts and Signatures. These Terms and Conditions may be executed in one or more counterparts and each of such counterparts shall be deemed to be an original for all purposes, and all of such counterparts shall together constitute one and the same instrument. It is agreed that an original, photocopy, PDF, electronic signature, or facsimile copy of a signature may serve as an original. No objection shall be raised as to the authenticity of any signature due solely to the fact that said signature is represented in a photocopy, PDF, electronic signature, or facsimile copy.
